§1 General
The following provisions shall govern the legal relationships between the models/talents, agency and respective clients in a binding manner, unless expressly agreed otherwise in individual cases. The agency, the models/talents they represent and their clients shall be protected from expectations and demands that are not customary in the industry.
§2 Booking modalities
(1) The Agency makes declarations to the Client in the name and on behalf of the Model/Talent. The client is the person who makes the booking with the agency, unless expressly agreed otherwise in writing at the time of booking.
(2) The client shall owe the agency the agency commission. Unless otherwise agreed, this shall amount to 20% of the agreed fee plus VAT.
(3) Any liability of the agency arising from the brokered legal relationship is excluded. The customer is not entitled to oIset claims against the model/talent against the agency's commission claim or to assert a right of retention.
(4) The customer shall also owe the agency commission for subsequent bookings as long as the model/talent is represented by the agency. He undertakes to refrain from direct bookings that bypass the agency.
§3 Booking modalities
(1) Options
Options are binding reservations. An option expires if a firm booking is not made at least three working days (by 6 p.m.) before the start of the activity or within one working day of the agency's request. Saturday and Sunday are not working days. German time applies. Options are noted after receipt of booking. If it is not a first option, the customer will be informed of the rank of the option. If an option expires, subsequent options will move up in the ranking.
(2) Fixed bookings
Firm bookings are binding for both parties. At the request of the customer, they must be confirmed immediately in writing by the agency, stating the essential details.
(3) Weather bookings
Weather-related bookings must be expressly designated as such. If the weather conditions are not present or if the weather situation is unclear, the customer may cancel the booking with the agency up to one hour before the agreed start of work at the latest. In this case, the cancellation fee shall be 50% of the agreed fee.
§4 Cancellation
(1) A fixed booking may be canceled for good cause. Circumstances that make it economically unreasonable to carry out the firm booking shall also constitute good cause for cancellation. The agency must be informed of the cancellation without delay.
(2) Cancellation must be made as many working days before the start of work as working and travel days have been booked, but at least 3 working days.
(3) If the cancellation is made before 12 noon, this day shall be included in the calculation. Saturday and Sunday are not working days. German time shall apply.
(4) Daily and hourly bookings must be canceled 24 hours before the start of work.
(5) If the cancellation is made by the model/talent, the agency will make every eIort to find an adequate replacement for the client, if necessary by involving other agencies.
(6) If a cancellation is not made on time or without good cause, the agreed fee must be paid.
§5 Working hours
(1) The working time is 8 hours for a day booking and 4 hours for a half-day booking.
(2) The working time begins with the arrival of the model/talent at the agreed place of work at the customer's premises at the agreed time. Preparations such as make-up and hairstyling count as working time.
(3) Overtime shall be remunerated at 15% of the agreed daily fee per hour or part thereof. As a gesture of goodwill, an overtime of up to 30 minutes will not be charged.
(4) The joint arrival and departure of model/talent and client between hotel and work location counts as working time. Arrival and departure (together) up to one hour per day will not be charged as a gesture of goodwill.
§6 Fee
The fee includes the daily fee and the fee for rights of use, buyout, plus VAT, if applicable. The fee for half-day bookings is at least 60% of the daily fee for models/talents based at the place of work. Half-day bookings of traveling models/talents and hourly bookings always require a separate agreement.
§7 Travel expenses
(1) Travel allowance
The Model's/Talent's travel to and from the place of work shall only be reimbursed if it takes place in whole or in part during the Model's/Talent's normal working hours. The daily travel allowance is
up to 2 working days: 1 day's fee,
up to 4 working days: 1/2 daily fee,
from 5 working days: no daily travel allowance, unless the arrival or departure extends over a whole working day.

(2) Travel expenses
In the case of models/talents who are resident at the place of work or have not traveled to the place of work, accommodation and meal costs will not be reimbursed. In the case of joint trips, the travel, board and lodging expenses incurred from the airport/railway station of the departing model/talent shall be borne by the client. Reimbursement shall be made either as a lump sum according to the standard tax rates per working day or on presentation of receipts.
§8 Terms of payment
The fee including cancellation fee, travel day compensation and travel expenses as well as the agency commission shall be paid without deduction upon receipt of the invoice, with the exception of applicable tax laws.
§9 Complaints, liability
(1) In the event of complaints, the customer must inform the agency immediately and explain the reasons for the complaint. Photos must be taken immediately as proof of the complaint and sent to the agency by e-mail. The model/talent must then be expressly released from his/her obligation to work. The model/talent is not responsible for hairstyling, styling and make-up. If photos are nevertheless taken with the model/talent, this shall be deemed a waiver of any complaint by the customer.
(2) If the model/talent is culpably late (oversleeping, missed plane, etc.), the model/talent must work for a correspondingly longer period of time. If this is not or only partially possible due to special circumstances, the model/talent shall lose his/her pro rata daily fee entitlement on the basis of the overtime fee.
(3) In the case of particularly high-risk shoots, the client must take out appropriate insurance for the model/talent. If the agency has not been expressly informed of the risk to be taken at the time of booking, the model/talent shall be entitled to refuse to perform and shall receive a cancellation fee amounting to 70% of the agreed total fee.
(4) Further claims shall be governed by the general statutory provisions. The liability of the model/talent and his/her agency for any legal reason whatsoever is limited to twice the total fee, except in cases of intent and gross negligence.
§10 Rights of use
(1) Unless expressly agreed otherwise, the rights of use to the recordings shall be granted exclusively to the named customer for one year within the Federal Republic of Germany for the agreed purpose, the agreed product and the agreed form of use with the agreed fee. The one-year period begins with the actual use, at the latest 6 months after the creation of the recordings.
(2) Any further use, in particular for posters, billboards, packaging, displays, videos, as well as any use of the name of a model/talent requires the express written consent of the agency.
(3) Rights of use shall only be granted upon payment of the agreed fee. Any use before full payment of the agreed fee is not permitted.
§11 AI and image processing
The use of Artificial Intelligence (AI) in relation to models is strictly prohibited by default, unless a specific AI buyout option (Option A or Option B) (“Buyout Option”) has been agreed in writing in connection with a booking confirmation/agreement (“Booking”).
The use of AI is strictly prohibited, including but not limited to the following:
(1) The alteration, manipulation, or modification of the model’s likeness, which includes but is not limited to their image, face, voice, body or any other features.
(2) AI-generated modifications such as digital replicas, facial alterations, body morphing, deepfakes, synthetic media, or any form of AI-generated content that simulates or mimics the model’s appearance or performance.
(3) Generating synthetic models or create “lookalikes” by merging real models’ likenesses to create new avatars, virtual characters or similar.
(4) The use of AI to analyze, extract, or gather data from models’ likenesses for any purpose, including creating datasets for AI training.
(5) Creating multiple variations from a single capture of the model and/or its likeness, such as altering clothing, settings, or context.
(6) Use of the model’s likeness in content for new collections, unrelated campaigns, or thirdparty brands not covered by the original usage license.
(7) Notwithstanding the foregoing, AI may be used under the conditions defined in the Buyout Options below, which constitute an exhaustive list, and only if expressly agreed in writing as part of a confirmed Booking.

Buyout Option A – Limited AI Usage
Scope:
(8) Visual adaptations using AI are allowed, provided the model’s physical appearance is not altered or distorted in any way.
Examples of permitted use:
(9) Background replacement or adjustment (e.g., studio replaced with an urban setting).
(10) Lighting adjustments (e.g., from daylight to evening mood).
(11) Subtle pose alterations through AI interpolation.
(12) Conversion of a still image into a “motion still” (e.g., product rotation or 360° spin)
(13) Such are only permitted for product display on the corresponding e-commerce platform.
(14) The total animation must not exceed 5 seconds.
(15) The model may not speak or interact actively; animation is strictly for product presentation and demonstration.
(16) All modifications must preserve the visual integrity of both model and product, meaning that the model and the product depicted must remain unchanged in their original form.
(17) Usage is restricted to the product range captured during the original shoot and within the licensed usage scope agreed in relation to a Booking or similar.
(18) The AI processing must take place in a so-called closed AI system. Use of public AI platforms and/or databases (e.g., OpenAI) is strictly prohibited.
(19) All AI use must comply with applicable statuary provisions, including the EU Artificial Intelligence Act and the General Data Protection Regulation (GDPR)

Buyout Option B – Extended AI Usage
Scope:
Includes the scope under Option A, along with the following additional permissions:
(20) AI may be used to further develop or diversify the product imagery within the same collection or product line.
Examples of permitted use:
Generating color variations of a product.
Creating new combinations using already-photographed items.
Generating side or back views based on the original photos.
§12 Final provisions
(1) German law shall apply between the parties to these booking conditions, agency, client and model/talent. The place of performance for all obligations arising from the booking in connection with rights of use is the registered oIice of the agency.
(2) The client undertakes to make changes or additions to the bookings and deviations from these booking conditions only after prior consultation with the agency and to refrain from encouraging models/talents to make changes or additions to bookings during working days.
(3) The validity of the booking conditions shall not be aIected by the possible invalidity of individual provisions. In place of an invalid provision, a provision shall be deemed to have been agreed which comes as close as possible to the intended purpose. The same applies to the filling of contractual loopholes.
(4) The place of jurisdiction for registered traders, legal entities under public law and customers without a general place of jurisdiction in Germany is the registered oIice of the agency.
